Strategic Finance & Capital Markets Director

For a leading Dutch digital infrastructure company we are looking for a senior finance leader to play a key role in the next strategic chapter of a fast\-scaling, investor\-backed platform. Combining strategic influence, transaction intensity, and direct exposure to top\-tier investors and lenders, this role offers exceptional visibility and impact.

A leading Dutch digital infrastructure and fiber network operator is entering its next phase of growth and transformation. Backed by two prominent, highly reputable international investors, the company has completed a large\-scale nationwide fiber rollout and is now focused on operational excellence, cash flow optimization, and preparing the business for future strategic opportunities, including a potential shareholder exit.

Position

As Strategic Finance \& Capital Markets Director, you will act as a strategic partner to the CFO and lead a landmark refinancing program of approximately €2bn. You will oversee the full transaction lifecycle, from structuring through execution and closing, while helping shape the company’s capital structure and investor positioning. In parallel, you will play a key role in preparing and supporting the company toward a potential future shareholder exit, helping shape the equity story, investor readiness, and overall transaction preparedness.

This is a high\-impact role at the intersection of finance, strategy, and capital markets, with direct exposure to senior leadership, shareholders, lenders, and external advisors.

Key responsibilities

• Lead the end\-to\-end refinancing process, including structuring, execution, and closing;


• Advise the CFO on capital structure, pricing strategy, covenant frameworks, and investor positioning;


• Manage relationships with lenders, investors, advisors, and shareholders;


• Drive governance, timelines, and stakeholder alignment across the program;


• Oversee due diligence, data room management, and transaction documentation;


• Ensure high\-quality financial models, reporting, and investor materials;


• Support exit readiness and development of the investment narrative.

Profile

We are looking for a senior finance professional with a strong track record in complex financing transactions and capital markets environments.

You bring:

• 15\+ years of experience in leveraged finance, debt capital markets, investment banking, or corporate finance;


• Proven experience leading large\-scale financing transactions (€1bn\+ preferred);


• Strong understanding of financing structures, pricing dynamics, and investor expectations;


• Experience in private equity\-backed environments;


• Exposure to M\&A and/or exit processes is a plus;


• Excellent stakeholder management and communication skills;


• A hands\-on, execution\-driven mindset and the ability to perform in high\-pressure environments.
