About the Role
We are looking for a Legal Counsel who is passionate about technology, law, and continuous growth, to reinforce our Legal function during a high\-growth phase. Reporting to the VP Legal, you will work closely with cross\-functional teams across the company, providing practical, business\-oriented legal advice in a fast\-paced and innovative environment.
Seynamics is currently executing a Series A round and a parallel venture debt process. Legal plays a central role in both, alongside ongoing work on commercial contracts, intellectual property, export compliance, and corporate matters. You will partner with the VP Legal on the full range, with autonomy to own significant matters end to end.
This is a hands\-on role for someone who brings a digital mindset, enjoys ownership, and is comfortable using AI tools to scale their own productivity in a fast\-paced, scale\-up environment.
Key Responsibilities
Corporate* Prepare legal communications and documentation, including powers of attorney, share transfers, agreements, and other corporate documents.
- Support corporate restructuring, board meetings, and shareholder resolutions.
- Coordinate with notaries, the Registro Mercantil, and external counsel on corporate filings.
- Maintain legal documentation and ensure accurate record\-keeping and contract management.
- Standardize contract templates and build a central contract repository.
- Support contracting and review on IP\-sensitive agreements (licensing, collaborations, evaluation agreements).
- Maintain the IP portfolio across patents, trademarks, and trade secrets.
- Build and maintain the export classification framework for products and customers.
- Coordinate with the technical and commercial teams on classification of new products.
- Monitor legal and regulatory developments (data privacy and GDPR, AI Act, sanctions and export control) and initiate updates as needed.
- Coordinate compliance training across the organization.
- Identify and manage legal risks, offering practical and business\-oriented solutions.
- Identify, pilot, and roll out additional legal AI tools to scale the function efficiently.
- Develop, improve, and maintain internal legal processes, policies, and documentation, including contract templates, internal policies, checklists, and legal tools.
- Direct involvement in Series A, venture debt, and strategic commercial agreements from day one.

Requirements
Must\-Have* Master's degree in Law (Spanish or equivalent).
Three to five years of post\-qualification experience (PQE) at a * \-tier or top\-tier law firm or in\-house legal department.
- Proven experience in drafting and negotiating complex commercial agreements.
- Native Spanish or Catalan proficiency, plus Business English at C1 level (written and spoken). The role requires drafting and negotiating legal documents fluently in both languages.
- Business and technology\-oriented mindset, with the ability to integrate legal solutions into broader commercial and technical contexts.
- Digital mindset, with comfort and curiosity around AI tools and process automation.
- Excellent drafting skills with strong attention to detail.
- Strong structure, organization, and documentation discipline.
- Ability to prioritize effectively across a diverse workload, including coordinating with external counsel when necessary.
- Comfortable working in a fast\-paced, agile, scale\-up environment.
- Experience in the technology, software, or semiconductor sector.
- Experience with industrial or hardware IP, beyond software patents.
- Experience in venture capital\-backed companies, or exposure to corporate finance or venture\-backed transactions (Series A, venture debt, convertible instruments, ESOP and Virtual Share Plans).
- Working knowledge of GDPR and other data privacy frameworks.
- Familiarity with sanctions and export control.
- Familiarity with Sttok or other stock options management platforms.
- Network within Cuatrecasas or other top Spanish law firms.
