The Opportunity

At the Legal and Company Secretarial function in Allianz plc, we are dedicated to supporting our colleagues by offering legal and corporate governance advice. Based on a solid understanding of the business and strategy, we actively support them in finding solutions that effectively address business needs while ensuring full compliance with applicable laws and regulations.

The role of the Assistant Company Secretary offers an opportunity to join Allianz’s Legal and Company Secretarial team and play an important part in supporting high standards of corporate governance across the company. You will be part of a small team and have responsibility for supporting and managing Board and Sub\-Committee meetings and maintaining all statutory company registers in line with applicable legal and regulatory requirements.

The role requires strong organisational and communication skills, sound judgement, diligence and attention to detail as well as the ability to build trusted relationships with a wide range of stakeholders. You are expected to have a relevant third level/professional qualification and extensive experience of best practice in corporate governance.

Key Responsibilities:

  • Manage all company secretarial tasks with oversight from the Company Secretary

  • Coordinate Board, Committee and Shareholder meetings, including scheduling, issuing notices, preparing agendas, compiling board packs and drafting minutes and resolutions

  • Ensure the maintenance of company secretarial records and statutory registers

  • Ensure timely compliance with all statutory and regulatory requirements, including corporate filings and beneficial ownership obligations

  • Support the production of year\-end financial statements in collaboration with colleagues from across the business

  • Liaise with external stakeholders as well as provide the point of contact for all business units, Board of Management and Executives

  • Ensure all requirements under the Companies Act 2014 are met

  • Manage and coordinate the reporting of any legal issues with internal stakeholders

  • Ensure files and records are correctly catalogued, managed and organised

  • Drafting legal documents

  • Carry out legal research and monitor new and emerging legislation that might have an impact on the company, and update Management accordingly

  • Provide business units with legal advice and information

  • Assist the Company Secretary in ongoing implementation and compliance with Corporate Governance and Fitness Probity requirements relating to PCF appointments

  • Assist the Company Secretary with ongoing implementation and compliance with Competition/Anti\-Trust policies and practices and to train staff on same

  • Participate in company projects involving legal/company secretarial input and advice

  • Contribute to continuous improvement initiatives within the team particularly relating to the production and distribution of Board and Sub\-Committee papers

  • Ad\-hoc duties as required by the role
Key Requirements / Skills Experience

Essential:

  • Third level qualification in a related field (i.e. company law, corporate governance, legal)

  • Demonstrated experience in relevant role (i.e. Company Secretarial Assistant or Corporate Governance)

  • Experience in Company / Commercial Law

  • Demonstrated ability to contribute toward relevant strategic plans

  • Experience in working with senior management and external parties like shareholders, regulators and auditors

  • Ability to work proactively and independently, applying discretion when dealing with confidential information

  • Proven ability to communicate effectively with stakeholders at all levels and translate complex material into meaningful information

  • Proven track record in working cross functionally and in a team environment with a focus on delivering results and working to tight deadlines
Desirable:
  • Professional qualification such as a Corporate Secretarial qualification from the Chartered Governance Institute

  • Familiarity with corporate governance systems such as Diligent Boards

  • Familiarity with General Insurance or Financial Services regulation

  • Demonstrated excellent report writing skill experience

  • Strong coordination skills
